1. Acceptance of these terms
These Terms of Use and Acceptable Use Policy (“Terms”) govern your access to and use of the CheckMatch platform provided by First Quality Financial Group, Inc. (“FQFG”, “we”, “us”). By accessing or using CheckMatch, you agree to these Terms. If you do not agree, do not use CheckMatch. If you use CheckMatch on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.
2. Eligibility & accounts
- You must be at least 18 years old and able to enter into a binding agreement to use CheckMatch.
- You are responsible for the information you provide being accurate and kept up to date.
- Access is granted to authorised users only; you must not let others use your account.
3. Account security
- Keep your login credentials confidential and do not share them.
- Use multi-factor authentication where it is offered.
- You are responsible for activity that occurs under your account, and must notify us promptly of any suspected unauthorised access.
4. Permitted use
You may use CheckMatch only for its intended purpose — to support bookkeeping, accounting, and related services for you or the organisation you represent — and in compliance with these Terms and applicable law.
5. Prohibited use
You must not:
- Access or use the platform without authorisation, or attempt to access data that is not yours.
- Share account credentials, or allow unauthorised persons to use the platform.
- Upload or connect data you do not have the right to provide, or that infringes others’ rights.
- Introduce malware, attempt to disrupt or overload the service, or probe or scan its security.
- Reverse engineer, decompile, copy, resell, or create derivative works from the platform, except as permitted by law.
- Use the platform for any unlawful, fraudulent, or harmful purpose.
6. Connected financial accounts
CheckMatch lets you connect financial accounts through Plaid. By connecting an account, you confirm that you are authorised to share that account’s data, and you authorise Plaid and us to access and use it to provide the service. Your use of Plaid is also subject to Plaid’s terms and privacy policy. Our handling of your information is described in our Privacy Policy. You can disconnect a connected account at any time.
7. Your data & responsibilities
- You retain ownership of the data you provide or connect.
- You grant us the rights needed to process that data to provide the services.
- You are responsible for the accuracy of the data you submit and for having the authority to provide any third-party information you upload or connect.
8. Intellectual property
CheckMatch, including its software, design, and content, is owned by FQFG or its licensors. We grant you a limited, non-exclusive, non-transferable right to use CheckMatch in accordance with these Terms. No other rights are granted.
9. Third-party services
CheckMatch relies on third-party services (such as Plaid and our hosting providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.
10. Availability & changes
We aim to keep CheckMatch available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features, and may perform maintenance, with or without notice.
11. Suspension & termination
We may suspend or terminate your access if you breach these Terms or to protect the platform or other users. On termination, your right to use CheckMatch ends. We handle and dispose of your data after termination in line with our Data Retention & Disposal Policy and applicable law.
12. Disclaimers
CheckMatch is provided on an “as is” and “as available” basis, without warranties of any kind to the maximum extent permitted by law. We do not warrant that the platform will be error-free or uninterrupted.
13. Limitation of liability
To the maximum extent permitted by law, FQFG will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits or data, arising from your use of CheckMatch.
14. Indemnification
You agree to indemnify and hold FQFG harmless from claims and losses arising out of your misuse of CheckMatch or breach of these Terms, to the extent permitted by law.
15. Governing law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. The parties submit to the courts located in Chicago, Illinois, except where applicable law provides otherwise.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new “last updated” date. Your continued use of CheckMatch after an update means you accept the revised Terms.
